ALmax Terms of Service

1. Introduction
Welcome to ALmax — a digital ecosystem designed to empower individuals, businesses, and organizations through technology-driven solutions for business management, finance, communication, and online services.
These Terms of Service (“Terms”) govern your access to and use of ALmax’s websites, mobile applications, APIs, software, and other products or services (collectively, the “Services”).
By using ALmax, you agree to these Terms. If you do not agree, you may not use our Services.
2. Eligibility
To use ALmax, you must:
- Be at least 16 years old.
- Have the legal capacity to enter into a binding agreement.
- Provide accurate and verifiable information, including KYC details where required.
Businesses using ALmax must ensure that the individual creating the account has full authority to act on behalf of the organization.
3. Account Registration and Security
- You must create an account to access certain Services.
- You are responsible for maintaining the confidentiality of your credentials.
- You agree to notify ALmax immediately of any unauthorized access or breach.
- ALmax is not responsible for any loss arising from unauthorized account activity if you fail to secure your credentials.
- We may suspend or terminate accounts that violate these Terms or are involved in fraudulent, abusive, or unlawful activities.
4. Use of Services
ALmax provides tools and features for:
- Business and client management.
- Software licensing and marketplace participation.
- Web2 and Web3 payments (NGN, USD, USDT, SOL, and ALmax_token).
- KYC verification and compliance.
- Shipment, tracking, and communication tools.
You agree to use ALmax only for lawful purposes and in accordance with applicable laws and regulations.
5. Prohibited Activities
You may not use ALmax to:
- Engage in fraud, money laundering, or illegal trade.
- Interfere with platform security or infrastructure.
- Copy, modify, or reverse-engineer any part of ALmax.
- Distribute malware, spam, or harmful software.
- Impersonate another user or misrepresent your identity.
- Host or promote content that violates laws or third-party rights.
Violation of these rules may result in immediate account suspension or legal action.
6. Payments and Transactions
ALmax supports both Web2 (NGN, USD) and Web3 (USDT, SOL) payments through verified gateways and smart contracts.
6.1 Currency and Token Usage
- 1 NGN = 1 ALmax_token (internal equivalence).
- Users can top up, withdraw, and transfer between supported currencies.
- International payments are processed via secure third-party services (e.g., Flutterwave).
6.2 Transactions
- All transactions are final once confirmed.
- ALmax is not responsible for delays or failures caused by third-party providers.
- Users must comply with currency exchange, AML, and local financial laws.
7. KYC and Compliance
To ensure security and compliance with international standards (NDPR, GDPR, AML/CFT), users may be required to complete Know Your Customer (KYC) verification.
ALmax reserves the right to:
- Deny access or suspend accounts with incomplete KYC.
- Request additional verification when necessary.
- Report suspicious activity to authorities when required by law.
8. Intellectual Property
All rights, titles, and interests in ALmax — including software, trademarks, logos, databases, and content — are the property of ALmax.
You may not:
- Copy or reproduce ALmax systems or content.
- Use ALmax trademarks without permission.
- Claim ownership of ALmax intellectual property.
Software developers publishing on ALmax Market retain ownership of their applications under ALmax licensing guidelines.
9. Developer and Marketplace Terms
Developers who sell or publish software via ALmax Market must:
- Provide accurate product descriptions.
- Use ALmax’s licensing system to distribute software.
- Respect user privacy and data handling rules.
- Avoid embedding malicious or harmful code.
ALmax reserves the right to remove, suspend, or review any software that violates policy or endangers users.
10. Termination and Suspension
ALmax may suspend or terminate your account if:
- You violate these Terms.
- You engage in unlawful or fraudulent activity.
- Your account remains inactive for extended periods.
- Required KYC or compliance checks are not completed.
Upon termination, you lose access to your account and stored data, except as required by law or regulation.
11. Limitation of Liability
To the maximum extent permitted by law:
- ALmax is not liable for indirect, incidental, or consequential damages.
- ALmax provides services on an “as‑is” and “as‑available” basis.
- We do not guarantee uninterrupted access or error‑free operation.
You agree to use ALmax at your own risk. ALmax’s total liability shall not exceed the total amount paid by you for services in the 6 months preceding the claim.
12. Indemnification
You agree to indemnify and hold harmless ALmax, its team, partners, and affiliates from any claims, losses, or damages arising from:
- Your use or misuse of ALmax.
- Violation of these Terms.
- Infringement of third‑party rights.
13. Dispute Resolution
In the event of a dispute:
- Parties shall first attempt amicable resolution through negotiation.
- If unresolved, disputes will be settled under the laws of Nigeria, unless otherwise required by your country’s consumer protection law.
- ALmax may use arbitration or digital mediation for cross‑border disputes.
14. Changes to Terms
ALmax may update these Terms periodically. Updates will take effect upon posting on our website or platform. Continued use of ALmax after changes means you accept the updated Terms.

16. Entire Agreement
